Terms and Conditions of Services
Introduction
1.1 Relationships are made out of mutual understanding. Here at House Sparrow Films, we believe in creating relationships beyond services. So here are the terms and conditions (the "Terms") to deliver the highest quality of content and video production services (the "Services") to the clients. Here are all the terms and conditions that help House Sparrow Films (referred to as "we," "us," or "our") provide high-quality content to the client (referred to as "you" or "your"). By engaging in our Services, you agree to be bound by these Terms.
1.2 These Terms consist of the entire agreement between House Sparrow Films and our clients, superseding any prior agreements, communications, or understandings, whether written or oral.
Services
2.1 We will provide content marketing, video production, and all things content as agreed upon in the project proposal or quotation provided to you. The specific details of the services, including deliverables, timelines, and fees, will be clearly outlined in the project proposal.
2.2 Any changes or additions to the services must be agreed upon in writing by both parties.
Client Obligations
3.1 By engaging with our services, you agree to provide us with all necessary information, materials, and access required to perform the services. This includes the brand guidelines, relevant references, logos, images, and access to relevant platforms, accounts, etc.
3.2 You are responsible for obtaining any necessary permissions, licenses, or clearances for any third-party content or materials provided to us for use in the Services. House Sparrow Films does not claim liabilities arising from your failure to obtain such permissions.
Fees and Payment
4.1 Our fees for the services will be mentioned in the project proposal or quotation. All fees are quoted in Indian rupees and are exclusive of any applicable taxes.
4.2 Unless otherwise agreed in writing, payment terms are as follows:
50% of the total fees must be paid during the project allotment, and the rest must be paid at the time of submission.
In case of any late submission or failure to deliver up to the expected level of quality will be subjected to a refund only when our negligence, non-performance, or quality issues are proven.
4.3 In the event of late payment, we reserve the right to suspend or terminate the services until payment is received in full. Late payments may be subject to additional charges.
Intellectual Property
5.1 You retain all rights, title, and interest in any pre-existing intellectual property or materials provided by you for use in the Services.
5.2 Upon receipt of full payment, we grant you a non-exclusive, non-transferable license to use the final deliverables of the services, but we claim creative ownership and rights to showcase our final deliverables on our website and social media platforms.
Confidentiality
6.1 Both parties agree to keep confidential any proprietary or sensitive information disclosed during the services. This includes business strategies, trade secrets, customer data, etc.
6.2 The obligations of confidentiality shall survive the termination or expiration of the services.
Limitation of Liability
7.1 To the maximum extent permitted by law, we shall not be liable for any indirect, consequential, incidental, or special damages arising out of or in connection with the services.
7.2 Our liability for any claim, whether in contract, tort, or otherwise, arising out of or in connection with the services shall not exceed the total fees paid by you for the services.
Termination
8.1 Either party may terminate the services with written notice if the other party materially breaches these Terms and fails to remedy such breach within 15 days of receiving notice.
8.2 In the event of termination, you shall be responsible for payment of any fees and expenses incurred up to the termination date.
Governing Law and Jurisdiction
9.1 These Terms will be governed and construed in accordance with Indian legislation for services provided by independent companies.
